01 — Terms
Terms.
Part 1 covers everyone who uses nexodyne.org. Part 2 adds the terms of the client portal, for members only. Project work for clients is covered by a separate written agreement, not by these terms.
Part 1The website.
1About these terms.
1.1 These terms apply when you use nexodyne.org (the “site”) and, if you are a member, the client portal at nexodyne.org/portal/ (the “portal”). They are a contract between you and Nexodyne Limited, a company registered in England and Wales (company number 16539459) with its registered office at 71–75 Shelton Street, Covent Garden, London WC2H 9JQ, United Kingdom (“Nexodyne”, “we”, “us”).
1.2 Our Privacy notice explains how we use your data. It forms part of these terms.
1.3 By using the site you agree to these terms. If you do not agree, please do not use the site.
1.4 You accept the portal terms (Part 2) when you first set up your profile after accepting an invite, and each time you use the portal. Until the portal opens, Part 2 applies to nobody.
1.5 Project work for a client (a website, a book, a campaign, a test, research or anything else we build or write) is covered by a separate written agreement between Nexodyne and the client. If that agreement and these terms disagree, the project agreement wins for the project.
1.6 Our ventures (such as RaiseSteady, Nexodyne Studio and Nexodyne Proof) have their own websites and their own terms. These terms cover nexodyne.org only.
2Using the site.
2.1 The site is free to use. You may read it, link to it and print pages for your own reference.
2.2 You must not use the site to send spam, attack it, scrape it in bulk, copy it as a whole, or do anything unlawful. Do not try to get round the limits we set, use the forms with false details, or submit anything that belongs to someone else without their permission.
2.3 We work to keep the site available and accurate, but we cannot promise it will always be available, uninterrupted or free of errors. We may change, pause or remove any part of it at any time.
2.4 The site links to our ventures and to other websites. They have their own terms and privacy notices. We are responsible for the sites we run, but not for websites run by others.
2.5 Prices and descriptions of services on the site are information, not an offer. Any project starts with a written agreement, which sets the scope, the price and the terms of that project.
3The forms.
3.1 When you apply to become a Vetted Pro, send an enquiry or request portal access, give accurate information and keep your email address up to date. We reply by email.
3.2 An application, an enquiry or an access request creates no contract and no promise of work, a project or an account. We decide each one ourselves and we may say no without giving a reason.
3.3 You must be 18 or over to use the forms. You confirm that you have the right to share what you send us, including links to your work.
3.4 We work with advanced artificial intelligence: leading AI models, set up with our own instructions and tools, alongside our team. We use them to do the work, so information and materials you send us may be processed by them, as our Privacy notice explains. Only send us what you have the right to share. Using these tools does not change anything we promise you in these terms.
4Our content.
4.1 The site, including its text, design, software, images, the Nexodyne name and the wordmark, belongs to us or to the people who license it to us. We give you permission to view and print it for your own reference. Any other use needs our written permission.
4.2 Some material is used under its own licence and credited where it appears.
4.3 If you send us ideas, feedback or suggestions about the site, we may use them without paying you. We will not publish your name or your words without your permission.
5Our responsibility for the site.
5.1 The site is provided free. As far as the law allows, we are not responsible for any loss or damage that comes from using the site or relying on what it says, including loss of profit, business, data or opportunity.
5.2 Nothing in these terms limits or excludes our responsibility for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, or for anything else that cannot be limited by law. If you use the site as a consumer, nothing in these terms takes away the rights your local law gives you.
Part 2The client portal.
6Who the portal is for.
6.1 The portal is a members-only space for our clients, our team and our Vetted Pros. It is invite-only: you join when we send you an invite, usually when a project starts. Anyone else may request access, and we decide.
6.2 The portal is for business use. You use it for the organization you represent, and you confirm that you are allowed to act for it. You must be 18 or over.
6.3 The portal is not indexed by search engines and is not open to the public. Do not share invites, links or content from it with people who are not members.
7Your account.
7.1 You sign in with a one-time code sent to your email address. There is no password. Keep your mailbox secure: anyone who can read it can sign in as you.
7.2 One account per person. Do not share your account or let anyone else use it. Tell us at once at info@nexodyne.org if you think someone else has used it.
7.3 An invite link works once and for 7 days. A sign-in code works once and for 15 minutes. We limit how many codes can be sent to an address.
7.4 Your profile is visible to every member, including other clients. Keep it accurate and professional, and put in it only what you are happy for other members to see.
8House rules.
8.1 The portal works because its members trust each other. Everyone in it agrees to the house rules:
- No selling. Do not pitch, advertise or recruit in the rooms. If another member asks about your work, answer them; do not approach members with offers.
- No spam. No bulk messages, no repeated posts, no links to things that do not belong in the conversation.
- Be kind. Disagree with ideas, not people. No insults, harassment, discrimination, threats or anything that would make a reasonable person feel unwelcome.
- Keep client work confidential. What you learn about another member’s business, project or plans in the portal stays in the portal (see section 9).
8.2 You must also not post anything unlawful, anything that infringes someone else’s rights, anything that contains malware or tries to break the portal, other people’s personal details without the right to share them, or anything sexual, violent or hateful.
8.3 If a message breaks these rules we may hide it (section 11). If you break them seriously or repeatedly we may suspend or end your account (section 12).
9Confidentiality.
9.1 Treat what other members share in the portal as confidential: their names, companies, projects, plans, questions and problems. Do not copy it, publish it, share it outside the portal or use it for any purpose other than the conversation it was shared in, unless the member who shared it agrees in writing.
9.2 Project rooms are private to the client members on that project and the Nexodyne team on it. What is said and shown there is confidential to those people (and the service providers in section 4 of the privacy notice, including providers of AI models).
9.3 We keep your project work confidential under your project agreement, and we share it only with the people and services that work on it. We do not show one client’s project room to another client.
9.4 The open rooms (such as General or Introductions) are shared by every member. Do not post in them anything you would not want every member to see.
9.5 These duties continue after your account ends.
10What you post.
10.1 You keep ownership of everything you post in the portal: messages, profile text, links and anything else (“your content”).
10.2 So that the portal can work, you give Nexodyne a non-exclusive, royalty-free, worldwide licence to store, copy, show, format and moderate your content inside the portal, for as long as it is in the portal. This includes showing it to the members of the room you posted it in, and keeping it in the room under “Former member” after your account ends unless you ask us to delete it (see the Privacy notice, section 7). We use your content for nothing else and never publish it outside the portal.
10.3 You are responsible for your content. You confirm that you have the right to post it and that it follows the house rules.
10.4 You may edit or delete your own messages at any time. We may keep a hidden copy for a short time for security and moderation, as the Privacy notice describes.
10.5 Milestones, links and other project information posted by our team belong to Nexodyne or to the client under the project agreement, as that agreement says.
11Moderation and removal.
11.1 Our team and admins may hide any message that breaks the house rules or the law, or that puts a member or the portal at risk. Hiding a message is logged with the reason.
11.2 Where it is reasonable, we tell you when we hide your message and why. If you think we got it wrong, email info@nexodyne.org and we will look again and reply within 5 working days.
11.3 We may also hide or remove content if the law requires it, or on a reasonable complaint from someone who says it infringes their rights.
12Suspension and ending an account.
12.1 You can close your account at any time by emailing info@nexodyne.org. We close it within 5 working days and handle your data as the Privacy notice says.
12.2 We may suspend your account at once if you seriously breach these terms, if the law requires it, or to protect other members or the portal. Where it is reasonable, we tell you why and give you a chance to reply.
12.3 We may end your account on 14 days’ notice by email when your project has ended and no other project is open, or if we close the portal. We may also end an invite before it is accepted.
12.4 When an account ends, access stops at once. Your profile is deleted as the Privacy notice says. Sections 9 (confidentiality), 10 (your content), 14 (our responsibility) and 16 (the law) continue to apply.
13Availability and changes.
13.1 We provide the portal as part of our work with clients, at no separate charge. We make no promise about availability, uptime, response times, backups or support, unless your project agreement says otherwise. We may pause the portal for maintenance or security at any time.
13.2 We may change the portal, add or remove features, and change the rooms. If a change makes the portal materially less useful for an open project, your project agreement applies.
13.3 Live updates, messages and other content may be delayed or lost. Keep your own copy of anything important, and record decisions about a project in the way your project agreement says.
14Our responsibility for the portal.
14.1 We are responsible for loss or damage caused by our breach of these terms or by our negligence, as long as it was a foreseeable result at the time.
14.2 As far as the law allows, we are not responsible for: loss of profit, business, revenue, goodwill or opportunity; loss or corruption of data or content posted in the portal; what other members post or do; or any delay or failure of the portal.
14.3 Our total responsibility to you for all claims connected with the portal in any 12-month period is limited to the fees you paid us under the related project agreement in that period, or US$1,000, whichever is higher. Responsibility for project work is governed by the project agreement, not by this section.
14.4 Nothing in these terms limits or excludes our responsibility for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, or for anything else that cannot be limited by law.
15Changes to these terms.
15.1 We may update these terms, for example to reflect changes in the law or in the site or portal. The date at the top shows when they last changed. If a change significantly affects portal members, we will email them at least 14 days before it applies. If you do not agree to a change, close your account before it applies.
16The law and the courts.
16.1 These terms are governed by the law of England and Wales. The courts of England and Wales have non-exclusive jurisdiction. If you use the site as a consumer in the European Union, you keep the protection of the mandatory consumer law of your country, and you may bring a claim in its courts.
17Other terms.
17.1 If a court decides that part of these terms is unlawful, the rest still applies. If we do not enforce a right straight away, we can still enforce it later.
17.2 We may transfer our rights and duties under these terms to another organization, for example if our business is sold; we will tell you if we do. You may not transfer yours.
17.3 Notices to you are sent to the email address on your account. Notices to us go to info@nexodyne.org.
17.4 For the portal, these terms, the Privacy notice and your project agreement are the whole agreement between us about the portal.
